Section VII NOMINATIONS AND ELECTION OF THE BOARD OF DIRECTORS
The President of the Board of Directors shall appoint new members to the Nominating Committee as needed. The Nominating Committee shall always consist of no fewer than four (4) members. Terms of service of the Nominating Committee shall be staggered, so that at least two members rotate off, and two new members join, the Committee each year. Each year’s Nominating Committee shall select its own chairperson for that year.
Section VIII OFFICERS/EXECUTIVE COMMITTEE
The officers of the organization shall consist of a president, vice-president, secretary, treasurer, and equity officer. Each shall exercise duties relevant to their office, and shall serve until their successor is elected, or until the officer is required to leave the board due to term limits. Each officer shall serve a term of two years, and may serve a maximum of three consecutive terms in any one office. Officers shall be elected at the first meeting of the board following the annual election. The offices of president and secretary shall not be held by the same person. The officers shall be elected by the full membership of the Board of Directors, who shall strive to ensure that the officers reflect the diversity of the full board and the community which the affiliate serves.
The Board of Directors shall fill any office which becomes vacant.
The elected officers and the National Board Representative shall serve as an Executive Committee to conduct the business of the Board between board meetings.
Officers may not serve as chairs of named committees. (See Section XII.)
Section XII COMMITTEES
The Board of Directors shall establish such committees which in its judgment best promote the work of the organization and its cooperation with the American Civil Liberties Union.
There shall be at least five Committees: Executive, described in Section VIII, Nominating, described in Section VII, and three named committees: Equity & Inclusion, Finance, and Governance.
The President, in consultation with Board members, shall appoint members to each of the three named committees. The Equity Officer shall be a member of the Equity and Inclusion Committee; the Treasurer shall be a member of the Finance Committee; and the Vice President shall be a member of the Governance Committee.
Each named committee shall select its own leadership, which may consist of a Chair, a Chair and Vice Chair, or Co-Chairs, as the committee membership sees fit. Committee leadership shall serve two-year terms.
Temporary task force committees may be assigned by the President on an as-needed basis to address specific issues.
